Glasgow-based private equity firm The Hamilton Portfolio has acquired a “strategic stake” in AIM-listed insulation manufacturer, Superglass. Hamilton has bought 6.35 million shares in Stirling-based Superglass, giving it a 4.15 per cent stake. Hamilton managing director, Andrew Lapping, said: “We are delighted to be making a strong commitment to the future of Superglass. “Over generations, it has been an outstanding Scottish manufacturing business employing more than 150 people, including grandfathers, fathers and sons from the same local families in Stirling. “Like many businesses, it has faced severe challenges in recent years but that does not eclipse its rich manufacturing history and well considered strategy for future growth. “It has a new, very impressive management team which has recently invested more than £5 million pounds in capital expenditure and is offering innovative insulation products to the market. “The company enjoys great support in Scotland, including the Scottish Government, and we believe that a company of this calibre is currently grossly undervalued by market sentiment. “We firmly believe there will be very strong demand in the future for Superglass products given the expected surge in house building and commercial property development and we look forward to supporting the company as it progresses.” Shares in Superglass dropped 38 per cent last October on news it had completed a share placing to raise £6.3 million at a near 49 per cent discount. Superglass, which employs around 170 people in Stirling also announced in October it had secured a new £4.8 million banking facility with Close Brothers, which the company said would replace an existing loan with Clydesdale Bank. In May 2013, the Superglass board had warned shareholders to accept what was a new £12.2 million share placing if the company is to avoid insolvency, a move which saw its share price plummet 60 per cent. Under the terms of the May 2013 refinancing, Clydesdale Bank – which agreed a debt for equity deal in 2011 to convert £12.15 million in loans to to shares - the group's £12 million debt to Clydesdale Bank, including deferred fees from an earlier debt-for-equity refinancing agreement, would be reduced to £2.5 million. Superglass stated last October the outstanding £2.5 million owed to Clydesdale Bank would be repaid at a discount of 15 per cent.
