Archer Capital sells nursing home biz Allity for $700m

Share Age care providers are ripe for M&A and not-for-profits are emerging as the bidders. Tanya Lake Allity runs 43 nursing homes in New South Wales, Victoria, Queensland and South Australia. Its annual EBITDA is understood to be in $60 million range. Archer bought Allity from Lendlease for $270 million in 2013. Eight odd years later, Bolton Clarke is understood to have paid $700 million for Allity at Archer’s first attempt in selling the business. The acquisition makes Brisbane-based not-for-profit Bolton Clarke the second-largest player in residential care after Opal Health, but ahead of Estia and BUPA. It also expands its aged care offering; Bolton Clarke already has a footing in retirement homes and at-home care. Advertisement Bolton Clarke was last sighted at ASX-listed healthcare business Japara. It lobbed a $326 million takeover bid for Japara earlier this year, but lost out to Catholic NFP peer Calvary’s $380 million offer. Watchers say the aged care sector is ripe for M&A, and NFPs could emerge as the most active bidders. While the government pours about $24 billion in funding into aged care a year, the Aged Care Royal Commission has added to smaller business’s compliance burdens. Many won’t be able to keep up and will look for a way out, with some watchers tipping the number of nursing home providers to tumble from 850 odd right now to under 30. Against this backdrop, NFPs like Japara-owner Cavalry and now Allity-owner Bolton Clarke could have the upper hand over other bidder demographics. For example, NFPs don’t have to pay payroll tax on their staff, which can run into thousands of people. Archer Capital’s Allity investment was via its $1.5 billion fund raised in 2011.
