We calculate our annual subscription services revenue retention ratefor a particular fiscal year by dividing (i) annualized subscription revenue asof the last day of that fiscal year from those customers that were alsocustomers as of the last day of the prior fiscal year by (ii) the annualizedsubscription revenue from all customers as of the last day of the prior fiscalyear. Annualized subscription revenue is calculated by multiplying the dailysubscription revenue recognized on the last day of the fiscal year by 365. Thiscalculation includes the impact on our revenues from customer non-renewals,expanded deployment of our solutions within their organizations, deployments ofadditional solutions or discontinued use of solutions by our customers, andprice changes for our solutions. We believe ourinvestments in professional services have driven customer success andfacilitated the further adoption of our solutions by our customers. During theinitial period of deployment by a customer, we generally provide a greateramount of configuration, implementation and training than later in thedeployment. At the same time, many of our customers have historically purchasedsubscriptions for a limited set of their total potential users or less than fulladoption during their initial deployments. As a result of these factors, theproportion of total revenues for a customer associated with professionalservices is relatively high during the initial deployment period. Over time, asthe need for professional services associated with user deployments decreasesand the number of users increases (as is often the case), we have observed andcontinue to expect the mix of total revenues to shift more toward subscriptionservices revenues. As a result, we expect the proportion of our total revenuesfrom subscription services to increase over time. Components of Results of Operations
Revenues
We derive our revenues primarily from subscription services fees andprofessional services fees. Subscription services revenues consist of fees fromcustomers accessing our cloud-based software solutions and subscription orlicense fees for our data solutions. In addition, Zinc Ahead had a limitednumber of perpetual license agreements with accompanying maintenance and hostingfees. We have included such on-going maintenance and hosting fees in oursubscription services revenues. , subscription services revenues constituted 80% of totalrevenues and professional services and other revenues constituted 20% of totalrevenues.We enter into master subscription agreements with our customers and count eachdistinct master subscription agreement that has not terminated or expired as adistinct customer for purposes of determining our total number of currentcustomers. We generally enter into a single master subscription agreement witheach customer, although in some instances, affiliated legal entities within thesame corporate family may enter into a separate master subscription agreement.Divisions, subsidiaries and operating units of our customers often placedistinct orders for our subscription services under the same master subscriptionagreement, and we do not count such distinct orders as new customers forpurposes of determining our total customer count. With respect to data servicescustomers that have not purchased one of our software solutions, we count as adistinct customer the party to each agreement that has a known and recurringpayment obligation. Subscription orders are generally billed just prior to thesubscription commencement date in annual or quarterly increments. Because theterm of orders for additional users or solutions is commonly less than one yearand payment terms may be quarterly, the annualized value of the orders we enterinto with our customers will not be completely reflected in deferred revenue atany single point in time. We have also agreed from time to time and may agree inthe future to allow customers to change the renewal dates of their orders to,for example, align more closely with a customer's annual budget process or toalign with the renewal dates of other orders placed by other entities within thesame corporate control group, or to change payment terms from annual toquarterly, or vice versa. Such changes may result in a lesser increase todeferred revenue than if the adjustment had not occurred. Accordingly, we do notbelieve that change in deferred revenue or calculated billings, a metriccommonly cited by financial analysts that is the sum of the change in deferredrevenue plus revenue, are accurate indicators of future revenues for any givenperiod of time. More recently and with respect to solutions other than our coresales automation solution, we have begun to enter into orders with terms of upto five years. Such multi-year orders are billed in annual or quarterlyincrements.Subscription services revenues are recognized ratably over the order termbeginning when the solution has been provisioned to the customer. Oursubscription services agreements are generally non-cancelable during the term,although customers typically have the right to terminate their agreements forcause in the event of material breach. Subscription services revenues areaffected primarily by the number of customers, the number of users (or othersubscription usage metric) at each customer that uses our solutions and thenumber of solutions subscribed to by each customer.We utilize our own professional services personnel and, in certain cases,third-party subcontractors to perform our professional services engagements withcustomers. Our professional services engagements are primarily billed on a timeand materials basis and revenues are typically recognized as the services arerendered. Certain professional services revenues are based on fixed feearrangements and revenues are recognized based on the proportional performancemethod. In some cases, the terms of our time and materials and fixed feearrangements may require that we defer the recognition of revenue untilcontractual conditions are met. In those circumstances, revenue recognition maybe sporadic, based upon the achievement of such contractual conditions.Professional services revenues are affected primarily by our customers' demandsfor implementation services, configuration, data services, training and managedservices in connection with our solutions. With respect to our recently acquiredZinc Ahead business, we have not established stand-alone value for professionalservices and, therefore, we account for multiple element arrangements as acombined unit of accounting. As a result, professional services revenues for ourZinc Ahead business, when delivered as part of a multiple-element arrangement,are generally recognized ratably over the term of the associated subscriptionservices.Cost of RevenuesCost of subscription services revenues for all of our solutions consists ofexpenses related to third-party data centers, personnel related costs associatedwith hosting our subscription services and providing support, including our datastewards, operating lease expense associated with computer equipment andsoftware and allocated overhead, amortization expense associated withcapitalized internal-use software related to our subscription services andamortization expense associated with purchased intangibles related to oursubscription services. Cost of subscription services revenues for Veeva CRM andcertain of our multichannel customer relationship management applications alsoinclude fees paid to salesforce.com, inc. for our use of the Salesforce1Platform and the associated hosting infrastructure and data center operationsthat are provided by salesforce.com. We intend to continue to invest additionalresources in our subscription services to enhance our product offerings andincrease our delivery capacity. For example, we may add or expand third-partydata center capacity in the future and continue to make investments in theavailability and security of our solutions. The timing of when we incur theseadditional expenses will affect our cost of revenues in absolute dollars in theaffected periods.Cost of professional services and other revenues consists primarily ofemployee-related expenses associated with providing these services, includingsalaries, benefits and stock-based compensation expense, the cost of third-partysubcontractors, travel costs and allocated overhead. The cost of providingprofessional services is significantly higher as a percentage of the relatedrevenues than for our subscription services due to the direct labor costs andcosts of third-party subcontractors. Operating Expenses
We accumulate certain costs such as building depreciation, office rent,utilities and other facilities costs and allocate them across the variousdepartments based on headcount. We refer to these costs as "allocated overhead. "
