KKR & Co. is nearing a deal to exit part of its stake in Weststar Aviation Services Sdn., Southeast Asia’s biggest provider of helicopters for the offshore energy industry, people with knowledge of the matter said. The private equity firm is in advanced talks to sell a portion of its 40% Weststar holding to the company’s controlling shareholder, Malaysian businessman Syed Azman Syed Ibrahim, according to the people. Weststar could be valued at about $2 billion including debt, the people said, asking not to be identified because the information is private. KKR, which has been an investor in Weststar since 2013, has seen delays to its attempts to sell out after a global slowdown in the energy industry hurt demand for oilfield services. Weststar started preparations the next year for an initial public offering in Kuala Lumpur, though the plan was later put on hold. After selling part of its stake to Syed Azman, KKR will consider options for its remaining holding over the next year, the people said. It could opt to revive an IPO of Weststar or sell the rest of its stake to Syed Azman or another investor, the people said. Any deal would add to the $57 billion of private equity transactions involving Asian targets announced this year, data compiled by Bloomberg show. No final decisions have been made, and there’s no certainty the discussions will lead to an agreement, the people said. A spokesman for Weststar confirmed Syed Azman is in talks with KKR on its stake in the Malaysian company and declined to comment further. A representative from KKR declined to comment. KKR bought the stake in Weststar, which was its first Malaysian investment, for about $200 million. Since then, Weststar has nearly doubled its revenue and expanded into new markets including the Middle East, Africa and Timor-Leste, according to the people. The company plans to add around 10 more helicopters to its fleet, from about 30 currently, and is diversifying into areas such as search and rescue operations and emergency medical services to reduce its reliance on the energy industry, the people said. Besides Weststar, KKR is also exploring a potential sale of Goodpack Ltd., a Singaporean provider of intermediate bulk containers that could fetch at least $2 billion, people familiar with the matter said earlier this month. LCI's leased helicopter fleet made its first foray into China last year with the placement of three medium twin AW139s to EMS provider Shanghai Kingwing. Libra Group subsidiary Lease Corporation International (LCI) has expanded its relationship with Malaysia-based rotorcraft operator Weststar Aviation Services, through the delivery of two new helicopters: a Leonardo AW139 and an AW189. They will join a previously delivered LCI AW189, which is already in service. The new medium-twin helicopters will be used to support Weststar’s offshore operations in Kerteh and Miri. The company also noted that its customer Babcock International Group has repositioned two AW139s from its operation in Aberdeen, UK, to Karratha, in western Australia, where they will be operated by Babcock’s Australasia concern in the offshore oil-and-gas role. The two helicopters will join LCI’s 12 AW139s already based in Australia, 10 of which are engaged in EMS operations, including six operated by Babcock for Air Ambulance Victoria. “Australia is a dynamic market, with huge long-term potential across a range of operating sectors, and has been a major commercial priority for LCI since we entered the helicopter leasing market in 2012,” noted Crispin Maunder, the company’s executive chairman. LCI (Booth C3223), which will celebrate its 15th anniversary this year as an aircraft leasing company, specializes in medium twin-engine helicopters, and the additions in Australia expand its presence in the Asia-Pacific region, which now accounts for over 40 percent of the company’s fleet. It currently has 48 rotorcraft in its portfolio, all but one purchased new, and has an additional 21 helicopters under management. Combined with helicopters on order that represents nearly $1 billion in equipment. In addition to Australia, the company’s helicopters are currently operating in the U.S., Europe, Africa, Southeast Asia and as of this past year, China, which Maunder describes as a very exciting, yet challenging market. EMS provider Shanghai Kingwing, through its operator Weststar, took on the leases of three AW139s. “We see a steady growth in EMS,” Maunder told AIN on the eve of Heli-Expo 2019. “Lots of new contracts coming up in Europe, certain parts of Asia and certainly North America as well.”
EMS operations currently occupy nearly half of the LCI fleet, while 25 percent are used for offshore oil-and-gas. The remainder are deployed in offshore wind-turbine servicing, search and rescue, and training. Maunder has also seen what he describes as limited growth in the oil-and-gas usage, which he believes could be attributed to the replacement of older equipment or the downsizing of equipment. “I think the oil industry has probably pushed the operators too far, and hence you’re seeing an uncertainty and poor financial results coming from the larger helicopter operators,” he opined. “That doesn’t do anyone any good in this industry, and there needs to be some rational thinking here as to what we’re all trying to achieve.”
