International Network Services will exchange 4.2 million shares of common stock for all outstanding shares and options of Vitalsigns, based in Santa Clara, Calif. International Network Services, based in Sunnyvale, Calif., will take an undisclosed charge in its second quarter, ending in December, to pay for the purchase. It said it would provide details when it reports first-quarter earnings on Oct. 25.
