ACCC puts Healius-Virtus Health IVF deal on hold

Share The Federal Court of Australia has granted the competition regulator an interlocutory injunction to block the finalisation of the purchase of Adora Fertility by Virtus Health from rival provider Healius until the regulator’s proceedings are finalised. Virtus and Adora are both providers of IVF services via fertility clinics in Brisbane, Sydney and Melbourne. On October 13, the Australian Competition Consumer Commission (ACCC) sought an urgent injunction to block Virtus from acquiring Adora and three day hospitals from Healius. The $45 million deal was mean to close October 14. The court ordered on Monday that the acquisition be delayed until the ACCC’s application for an injunction is finalised. The court had issued an interim injunction on October 14 and extended it on October 19. “We welcome the court’s order to stop Virtus Health from going ahead with this acquisition before the Court has had an opportunity to hear evidence and make a decision on whether the acquisition is likely to substantially lessen competition,” ACCC Chair Rod Sims said. Mr Sims previously criticised Virtus’ decision to push ahead with its acquisition before a review was completed as having “shown complete disregard for the usual merger assessment processes”. Advertisement Virtus is the nation’s largest fertility treatment provider, and the ACCC said it “provided very limited information” to the regulator. In September, the ACCC flagged it would conduct a public review of the deal, seeking to understand if it would reduce competition and what kind of impact it may have on the pricing of IVF services. Healius boss Malcolm Parmenter said last week he was still expecting the sale of Adora to Virtus to go through, despite the competition regulator seeking an interim injunction .
