Shearman & Sterling advised holding company Group 42 on its purchase of Texas Oilfield Fabrication & Pipeline (TOFP). This acquisition adds pipeline and fabrication services to Group 42’s family of offerings, and is part of its long-term strategic plan to expand its footprint substantially in the U.S. Group 42 is an energy-focused holding company based in San Antonio. Its subsidiaries include Well Flow International, whose specialty chemicals and services support enterprise class producers in the Arabian Gulf, North Sea and West Africa, as well as North America. TOFP is a privately held company in San Antonio. TOFP operates primarily in the oil and gas pipeline construction and fabrication business. Founded in 2016, TOFP provides turnkey work to supply companies with a reliable pipeline system along with a complete list of services including construction, installation and maintenance.
