Canacol Energy Ltd. Announces Cash Settlement and Cancellation of Warrants

Oct 21, 2014

CALGARY, ALBERTA--(Marketwired - Oct. 21, 2014) - Canacol Energy Ltd. ("Canacol" or the "Corporation") (TSX:CNE)(OTCQX:CNNEF)(BVC:CNEC) is pleased to announce the settlement of 2,697,292 outstanding phantom warrants for US$ 3.5 million, paid in cash. The phantom warrants arose in late 2012 in connection with a past financing transaction with respect to the acquisition of Shona Energy Company, Inc. The phantom warrants were payable in cash or Canacol common shares and were set to expire on December 21, 2015, fourteen months into the future. Given recent share price volatility, the Corporation negotiated a settlement of the phantom warrants significantly below their most recently reported financial statement carrying value at June 30, 2014 of US$ 7.6 million, resulting in the expected recognition of a gain on settlement in the Corporation's consolidated statement of operations in the current period. Canacol is an exploration and production company with operations focused in Colombia and Ecuador. The Corporation's common stock trades on the Toronto Stock Exchange, the OTCQX in the United States of America, and the Colombia Stock Exchange under ticker symbols CNE, CNNEF, and CNEC, respectively.
