Suit filed against FedEx in acquisition of European courier

A complaint filed in Memphis Tuesday alleges FedEx Corp. defrauded a European software company in 2011-2012 while acquiring a Polish courier . FedEx bought Opek sp. z o.o. for $54 million and today operates it as FedEx Express Polska . The lawsuit, filed in the U.S. District Court for the Wester District of Tennessee, is brought by a software firm, Amur sp. z o.o. , that had been doing business with Opek for more than a decade before FedEx came into the picture, according to the complaint. Specifically, the lawsuit accuses FedEx of tortious interference with a contract and with a business relationship; civil conspiracy; unjust enrichment; and aiding and abetting breach of fiduciary duty. "FedEx believes these claims are without merit and will defend the lawsuit," says FedEx spokesman Jim McCluskey . Krzystof Kedzierski , principal of Amur, states his company developed and licensed an integrated software platform into Opek's business plan to help it grow into a leading national courier. The complaint says Opek owner Marek Opinski unlawfully sold the proprietary software along with his company to FedEx in 2012, though license agreements were provided to FedEx that Opek had no ownership of the software. The complaint says FedEx either unwittingly paid for the software to the incorrect party or did so knowingly and conspiratorially — but that either way the American corporate giant obtained it wrongfully. The software designer alleges that FedEx has since provided the platform's source code to Amur's competitor, Siodemka, and other entities, thus further damaging the company's profitability. Page 1
