Atmel to Boost Internet of Things Market with Newport Media Buy - Analyst Blog
Regions Financial (NYSE: RF ) reported a 12% rise in its second-quarter profit. Regions Financial's quarterly net income surged to $300 million, from a year-ago profit of $267 million. Its per share-earnings, reflecting the payment of preferred dividends, also gained to $0.21 from $0.18. Its revenue fell 2% to $1.28 billion, while noninterest income declined 8% to $457 million. However, analysts were projecting earnings of $0.21 per share on revenue of $1.29 billion. The bank's net interest margin came in at 3.24%, versus 3.16% in the year-ago period. Its net interest income surged 1.7% to $822 million. Regions Financial's loan portfolio increased 1.1% versus the prior quarter to $77 billion, while consumer lending gained around 1% versus the earlier quarter to $29 billion. SAN JOSE, Calif., July 7, 2014 /PRNewswire/ -- Atmel® Corporation (NASDAQ: ATML ), a leader in microcontroller and touch technology solutions, today announced that it has signed a definitive agreement to acquire Newport Media, Inc. ("NMI"), a leading provider of high performance low power Wi-Fi and Bluetooth solutions, that will enable Atmel to offer the industry's most complete wireless portfolio of smart connected devices for the "Internet of Things. "
Adding to Atmel's already broad SmartConnect™ wireless portfolio, NMI's 802.11n Wi-Fi and Bluetooth certified products offer innovative, highly integrated solutions that will accelerate seamless communication and connectivity for the Internet of Things. NMI's products combined with Atmel's ultra-low power microcontrollers are designed for a broad spectrum of applications including industrial, home and building automation, and consumer products requiring smaller form factors and longer battery life. The purchase price is $140 million cash, subject to working capital adjustments, plus an additional earn-out of up to $30 million to be paid subject to achievement of future revenue thresholds over two years. The transaction is subject to customary closing conditions, including anti-trust review, and is expected to close during the third calendar quarter. Atmel will fund the transaction with cash on hand and borrowings under its existing credit facility. NMI recorded $43 million in annual revenue during 2013 and the acquisition is expected to be accretive to Atmel's non-GAAP financials in the second half of 2015. The internet of things market is expected to be huge as everyday devices become smarter and connected to the internet. Atmel, which makes microcontrollers and touchscreen tech, wants to be a player in this emerging market. By adding Newport Media, a maker of low-power Wi-Fi and Bluetooth chips, Atmel will expand its portfolio for the internet of things, where large numbers of sensors have to communicate data wirelessly to the internet. San Jose, Calif.-based Atmel already has a broad portfolio of SmartConnect wireless chips, including 802.11n Wi-Fi and Bluetooth products. With Newport Media, Atmel say sit will be able to address a broad spectrum of internet of things applicaitons in industrial, home, and building automation. Newport, based in Lake Forest, Calif., raised $15 million back in 2010 from Pinnacle Ventures, Benchmark Capital, Venrock, Global Catalyst Partners, Oak Investment Partners, and DAG. Newport Media had $43 million in annual revenue in 2013. The purchase price is subject to working-capital adjustments, and it does not include a possible $30 million earn-out if Newport hits certain revenue targets over two years.
