Trois ans après le carve-out des Laboratoires Anios, ancienne filiale d’Air Liquide, et l’arrivée d’Ardian à son capital, l’entreprise lilloise vient déjà d’être cédée par le fonds d’investissement. L’heureux acquéreur est un industriel américain, Ecolab. Avec le soutien de ce nouvel actionnaire, Bertrand Letartre espère accélérer le rythme de croissance de sa firme et atteindre, dès cette année, les 235 millions d’euros de chiffre d’affaires. Décideurs. Pourquoi avoir privilégié l’adossement à un industriel, en l’occurrence Ecolab, plutôt qu’à un nouveau fonds d’investissement ? Bertrand Letartre. Nous sommes sortis du giron d’Air Liquide il y a seulement trois ans. Il était donc logique de continuer notre histoire avec Ardian à nos côtés. Mais Ecolab a montré une réelle volonté de nous acquérir. Nous avons longuement discuté avec eux à la fois sur le plan financier mais aussi sur le plan stratégique. Par ailleurs, nous avons pensé qu’à moyen terme (2 ans), nous n’aurions pas eu d’offre aussi intéressante avec un autre fonds d’investissement. Décideurs. Le fonds d’investissement Ardian, vous-même et votre frère (51%) êtes sortis du capital. Pour autant, vous allez respectivement demeurer président et directeur général de l’entreprise pour une période de trois ans. Quelles sont vos ambitions pour cette période ? Il n’y a pas vraiment de date prédéfinie. Disons qu’il y a un engagement de notre part sur au moins trois ans. Notre rôle sera avant tout d’accompagner l’entreprise dans son développement industriel. Le rapprochement avec Ecolab est déjà une excellente nouvelle en matière d’emploi. La firme américaine travaille avec de nombreux sous-traitants, une partie de cette activité sera donc rapatriée dans nos outils de production situés à Lille. Notre usine va s’agrandir de 30 %. Il en est de même pour notre laboratoire de recherche, Ecolab ne disposant pas d’un tel outil en Europe dans la Santé. Le rapprochement avec Ecolab est une excellente nouvelle en matière d’emploi
 
Décideurs. Quel bilan faites-vous des trois années passées aux côtés d’Ardian ? Nous avons eu une excellente relation. Je dois vous avouer que je ne m’attendais pas à cela. L’image des fonds d’investissement n’est pas forcement positive alors qu’en pratique nous avons trouvé en eux de vrais supporters, au sens anglais du terme. Pendant ces trois ans à leurs côtés, les Laboratoires Anios ont réalisé un grand nombre d’opérations de croissance externe. Cette période a été matérialisée par une forte croissance. Lorsqu’une cible était détectée, nous avons à chaque fois pu agir très vite. Décideurs. Est-il possible de mettre en place une stratégie de développement à long terme lorsque vous avez pour principal actionnaire un fonds dont l’horizon d’investissement est de 3 à 7 ans ? Ce n’est pas leur objectif. Les fonds souhaitent en priorité réaliser une plus-value et sortir à moyen terme. Cette stratégie a le mérite de la clarté. Compte tenu de la valorisation de l’entreprise, repartir avec un autre fonds d’investissement était difficilement envisageable. Il aurait fallu pour cela s’endetter de manière importante. Je craignais également qu’avec un nouveau fonds, il aurait fallu recourir à une gestion très serrée pour amortir son investissement. Or, ce n’était pas notre but. Avec Ecolab nous avons noué une excellente relation, ils respectent l’entreprise et comptent sur nous. Le secteur de la santé est devenu un axe de développement majeur pour eux. La poursuite de notre politique de croissance externe est l’une de nos priorités
 
Décideurs. Qu’attendez-vous d’Ecolab, votre nouvel actionnaire ? Avec 14 milliards de dollars de chiffre d’affaires, Ecolab se positionne comme l’un des acteurs très puissants des technologies et services de l'eau, de l'hygiène et de l'énergie. Jusqu’à présent, la société était très présente en France sur le secteur de l’agro-alimentaire, de l’hôtellerie et de la restauration mais assez peu sur celui de la santé. Pour s’y développer, elle a donc créé une branche autonome « healthcare » et compte s’appuyer sur nous. Dans plusieurs grand pays (Chine, Émirats arabes unis, Brésil…) la firme américaine dispose d’une usine, d’un département regulatory, des infrastructures ou d’une logistique très puissante. L’idée est de nous permettre de disposer de ces différentes plates-formes pour développer notre activité. Cela correspond aussi à notre désir de pouvoir produire localement : une stratégie qui nous permet d’être plus réactifs et d’éviter les taxes à l’importation, les pays étant de plus en plus protectionnistes. Décideurs. Depuis 2013, des opérations de croissance externe vous ont permis d’accélérer votre développement en France (Hysis Medical) et à l’étranger (Brésil, Espagne, Turquie). Cette stratégie va-t-elle se poursuivre ? La poursuite de notre politique de croissance externe (Chine, Amérique du Sud, Asie, Moyen-Orient) est l’une de nos priorités. La santé représente pour l’instant 700 millions d’euros de chiffre d’affaires pour le groupe Ecolab. Pour y parvenir, nous avons conscience que la croissance organique ne suffira peut-être pas. Laboratoires Anios is one of Europe’s leading providers of disinfection solutions for hospitals and clinics and a key supplier for the industrial and hospitality sectors. The total transaction consideration, including satisfaction of outstanding debt, was approximately €750m. Over the past three years, Laboratoires Anios has achieved sustained growth, strengthening its position, particularly in three areas: hospitals and clinics; international trade; and on the value chain for endoscope washer-disinfectors. The speed of this development was boosted by the acquisition of Soluscope (France) in 2014, followed by the acquisition of a majority stake in Endoclear (Brazil) and Deren (Turkey) in 2015. In 2016, the company also acquired Hysis (France) and the hospital disinfection activities of Inibsa (Spain). Laboratoires Anios has achieved growth of around 25% in turnover, 55% in EBITDA and 56% in headcount during this period. At the same time, the company now employs some 710 people around the world, including around 550 in France. The sale to Ecolab reflects Bertrand and Thierry Letartre and Ardian’s shared commitment to finding a long-term strategic partner to support the company’s future growth. This includes further international expansion and the consolidation of its position in the European market for hygiene and disinfection in hospitals and clinics. La société des LABORATOIRES ANIOS (siège à Lille), spécialisée dans la fabrication de produits désinfectants pour les milieux médicaux et industriels, vient de faire l'acquisition de la société HYSIS MEDICAL (siège à La Ciotat), qui fabrique et distribue des équipements destinés à l'hygiène hospitalière, et qui a réalisé un chiffre d'affaires de 1,9 millions d'euros en 2015. Cette acquisition permet aux Laboratoires Anios de compléter leur gamme, alors qu'ils viennent de signer deux accords de distribution exclusive, l'un avec la société Germitec et l'autre avec ASP, une filière de JOHNSON & JOHNSON. Le groupe lillois a réalisé en 2015 37% de son chiffre d'affaires de 220 millions d'euros à l'international.
