Oracle's Endeca acquisition to cost $1.1 billion Oct 24, 2011, 11:38am EDT //= $authorImg ?> Enlarge Oracle Corp. (Nasdaq: ORCL) plans to pay $1.1 billion to acquire privately-held Endeca Technologies Inc., according to a document obtained by the Boston Business Journal related to the deal. Oracle announced Oct. 18 that it had reached an agreement to buy the Cambridge-based search engine technology firm, but didn’t disclose any terms. The document shows that Redwood City, Calif.-based Oracle has agreed to pay $1.075 billion to Endeca’s stock and option holders. The document also says the stockholder approvals needed for the deal to go through have been obtained, with holders of 70 percent of Endeca’s outstanding stock in consent. The price tag would make the Endeca deal the largest acquisition of a Massachusetts-based IT company this year. The latest billion-dollar acquisition of a Bay State company also came from Oracle, which announced last November it would pay $1 billion for Cambridge-based e-commerce software firm Art Technology Group . Endeca has been backed by $70 million in equity investment from investors including Bessemer Venture Partners and Ampersand Capital Partners. The company’s last fundraise came in 2008, a $25 million round. Endeca’s board includes Felda Hardymon, who works out of Bessemer’s Cambridge office, and Richard Charpie of Wellesley-based Ampersand. Endeca CEO Steve Papa said in June that the company expected $150 million in revenue this year. Papa also said at the time that he expected the company would ultimately seek an initial public offering rather than acquisition. He declined to comment last week.
