Ltd. will embrace continuous growth, which in turn will allow the Target Company to make sustained contribution to the profit of the Group. - 6 - The Directors (including independent non-executive Directors) are of the view that the terms and conditions of the Sale and Purchase Agreement are fair and reasonable, and the transaction thereunder is in the interest of the Company and its Shareholders as a whole.
