Amdocs has announced that it is buying substantially all the assets of network management service provider, Celcite Management Solutions for approximately $129 million in cash. Additional consideration may be paid later based on the achievement ofcertain performance metrics. Amdocs said that the acquisition of Celcite buildsupon and enhances the recent acquisition of Actix. In addition, Amdocs will be expanding its CES (Customer Experience Systems)portfolio with quality-of-service (QOS) focused, geo-located network data thatwill drive a variety of optimization use cases. "Together, Amdocs, Celcite and Actix will emerge as the preferred providerof network management and SON solutions to service providers worldwide," saidRahul Sharma, founder and chief executive officer atCelcite. "With thecombination of our people, assets, and product/services expertise, we will offerunmatched end-to-end offerings to relieve customers' core network challenges,including capacity and roll out, and help them tie the customer experience tothe network in real-time. " Amdocs expects the acquisition of Celcite, if completed, to be modestlyaccretive to 2014 non-GAAP earnings per share (excluding acquisition relatedcosts and equity-based compensation expense, net of related tax effects). Theimpact on GAAP results will not be known until after Amdocs completes thepurchase price accounting for the acquisition.
