Ad hoc announcement pursuant to Art. 53 LR All-cash tender offer by Vencora UK Limited (Vencora or the Offeror) of CHF 60 per share of CREALOGIX Holding AG (CREALOGIX), representing an aggregate equity value for CREALOGIX of CHF 84.3 Mio. The Offer Price implies a premium of 26.96% when compared with the value per CREALOGIX share of CHF 47.26 determined by the independent Review Body of the offer, BDO AG, in its valuation report, which is the value that is relevant for the determination of the minimum offer price; and 20.48% premium over CREALOGIX’s closing share price on 15 November 2023. The acquisition will result in a Swiss software company with the backing of a well-capitalised leading global technology firm that is keen to support further growth. Vencora, an indirect subsidiary of Constellation Software Inc. (a Canadian-based international provider of software and services whose shares are listed on the Toronto Stock Exchange, TSE: CSU) and CREALOGIX (SIX: CLXN), a global leader in digital banking technology, jointly announced today that they have entered into a definitive transaction agreement, under which Vencora agreed to submit an all-cash public tender offer to acquire all publicly held registered shares of CREALOGIX for CHF 60 per share (the Offer Price). Vencora published its pre-announcement of the offer today. The Offer Price implies a premium of 26.96% when compared with the value per CREALOGIX share of CHF 47.26 determined by the independent Review Body of the offer, BDO AG, in its valuation report, which is the value that is relevant for the determination of the minimum offer price. The board of directors of CREALOGIX unanimously recommends that shareholders accept the offer.
