The following are the M&A deals, rumors and chatter circulating on Wall Street for Wednesday, October 25, 2017. Sprint, T-Mobile in Talks for All-Stock Deal
The Deal:
Sprint Corp (NYSE: S ) and T-Mobile US Inc (NASDAQ: TMUS ) are in discussions regarding an all-stock transaction, according to sources as reported by the Wall Street Journal on Wednesday. T-Mobile's parent company, Deutsche Telekom AG (OTC:DTKEY) will control the combined company, with T-Mobile CEO John Legere at the helm, sources said. Sprint Chairman Masayoshi Son will be co-chairman. A deal could be announced within the next few weeks, the sources said. T-Mobile closed Wednesday at $61.93, down 35 cents. Trade Desk Inc (NASDAQ: TTD ) announced it has acquired the assets of Adbrain. Financial terms were not disclosed. The Rumor:
Pfizer Inc. (NYSE: PFE ) is planning an auction process for its consumer healthcare business in November, according to sources as reported by Reuters. GlaxoSmithKline (NYSE: GSK ) and Reckitt Benckiser (OTC: RBGPF ) are said to be considering a bid, the sources said. Pfizer announced on Oct. 10 it was considering strategic options for the unit. Pfizer closed at $36.16, down $0.11. Dynegy Near Deal to be Acquired
The Rumor:
Shares of Dynegy Inc. (NYSE: DYN ) spiked as high as $11.19 on Wednesday, following a report from the Wall Street Journal that Vistra Energy Corp. is in talks with Dynegy regarding a potential merger. A deal could be announced as early as next week, according to sources. The companies have been talking since last spring, the sources said. A combined company could be worth more than $20 billion, according to the report. Dynegy closed at $10.78, up $1.57.

The Trade Desk on Wednesday made its first-ever acquisition when it bought the cross-device identity graph company Adbrain, adding a data set of cross-device IDs to its own demand-side platform. Terms of the deal were not disclosed. But the acquisition isn’t expected to materially impact The Trade Desk’s earning report and adds a 20-person team to the company, bringing total headcount to 650, founder and CEO Jeff Green told AdExchanger. The deal may not have broken the bank, but “when we were made aware Adbrain was considering a sale, we recognized that if it was sold to someone else we likely wouldn’t have access to that data set anymore,” Green said. Since 2015, The Trade Desk has included Adbrain in its cross-device services marketplace, a platform feature with other identity-linking graphs from companies like Drawbridge, Tapad and LiveRamp. “We don’t think any one company, including ourselves, could create one data set that can adequately account for the entire internet,” Green said. But when deterministic data sets are acquired, they can disappear from view for the open ecosystem. Green doesn’t expect owning Adbrain to affect the company’s cross-device partnerships. “I still expect a lot of growth from partners like Oracle, LiveRamp and Drawbridge on our platform, and this will just make those cross-device extensions more effective,” he said. For Tapad, a seller in The Trade Desk’s cross-device market, “overall, we see it as a positive development that The Trade Desk moves to give an independent alternative to walled gardens,” CEO Sigvart Voss Eriksen told AdExchanger in an email. Ad tech companies’ ability to apply deterministic data online gets to the heart of the commanding position held by walled gardens in digital media. The Adbrain acquisition is “not just about solving a general cross-device problem,” Green said. “It’s about solving a problem across all programmatic media, inside or outside walled gardens.”
The average US consumer, for instance, owns three or four identifiable devices, like smartphones, tablets or computers, he said. For big brands in particular, which tend to have bigger campaigns spread across more media channels, “understanding when you’re talking to the same person or device even as that user goes from The New York Times app to Spotify, and then later on the web, say, is a major focus right now outside of walled gardens.”
Owning a proprietary data set “will enhance that story we can tell to our standard customer, which are the agencies working with those brands that are frankly suffering the most from the impacts of walled gardens,” Green said. “It’s something agencies increasingly want and expect from their non-walled-garden ad platforms.”

The Trade Desk announced today (October 25) that it had agreed to acquire the assets of Adbrain in a move that demonstrates mergers and acquisitions (M&A) in the adtech space show no sign of abating. Financial terms of the deal were not publicly disclosed , but The Trade Desk said that it will not have any material impact on its upcoming quarterly financial results, and that the pair have worked together since October 2015. Adbrain helps advertisers to piece together cross-device customer ID maps to better help them with targeting consumers on the myriad of devices they own – typically 3.64 according to GlobalWebIndex – and the acquisition builds upon The Trade Desk’s strategy of partnering with a host of players to license deterministic cross-device data sets. Adbrain’s technology combined with those data sets give The Trade Desk "a proprietary deterministic device graph" to match a user’s identity across different devices, according to the company. Jeff Green, The Trade Desk, chief executive officer, added: “With this acquisition we will develop a proprietary device graph that combines Adbrain’s technology with login data, giving advertisers and brands on The Trade Desk platform an independent alternative to walled gardens.”
In its latest quarterly results The Trade Desk, an adtech outfit typically defined as a demand-side platform (DSP), reported significant increases in mobile and video ad revenue. Revenue from in-app mobile ads grew 87% year-over-year during the period, with video ads on such devices also growing 171%, with The Trade Desk’s Green previously voicing the importance of mobile to its growth strategy in Asia with The Drum. Adbrain raised $7.5m in early 2016 , and counts among its investors Cisco Investments, Notion Capital and Octopus Ventures, with the company reporting at the time that it would use the funding to incorporate the internet of things (IoT) to its Adbrain Identity Cloud.
